Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services provided by Onfolio Holdings, Inc (“OnfolioIQ”, “we”, “us”, “our”). OnfolioIQ is operated by Onfolio Holdings, Inc(Nasdaq: ONFO). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility & Accounts

You must have authority to accept these Terms on behalf of yourself or your organization. Institutional accounts are intended for professional subscribers. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Access & Subscriptions

Access to market briefings and the Signal Engine is granted through a paid subscription plan. Where a paid subscription applies, it renews automatically at the end of each term until cancelled. You may cancel at any time, and your access will continue until the end of the then-current billing period. Fees are exclusive of taxes. We may adjust pricing or packaging upon reasonable notice. If you have been granted complimentary or evaluation access, the terms of that grant control the scope and duration of your access.

3. Acceptable Use

  • No unlawful, infringing, or harmful activities.
  • No reverse engineering, unauthorized access, or interference with the Services.
  • No redistribution of subscription content outside your licensed seat.
  • Comply with carrier and CTIA guidelines for all SMS communications.

4. Customer Data & Privacy

You retain ownership of Customer Data. You grant OnfolioIQ a license to process Customer Data to provide and improve the Services. Our use of personal data is described in our Privacy Policy.

5. Intellectual Property

We and our licensors retain all rights, title, and interest in and to the Services, including research content, software, documentation, designs, and trademarks. You may not use our marks without prior written consent.

6. SMS Program (Signal Alerts & Market Briefings)

By opting in to SMS, you consent to receive recurring transactional SMS messages from Onfolio Holdings, Inc (operating as “OnfolioIQ”) regarding two notification programs:

  • Signal Alerts: a real-time notification when the Signal Engine detects a material signal score change on a ticker or sector you watch, or when a watched name crosses a signal threshold you configured.
  • Market Briefings: a notification when a scheduled pre-market or post-close market briefing to which you are subscribed is published and delivered to your dashboard.

You may opt in to SMS alerts at the dedicated opt-in page at https://onfolioiq.com/sms/opt-in, which offers tabs for Signal Alerts and Market Briefings. Both opt-in types require separate Terms agreement and SMS consent checkboxes (unchecked by default). SMS consent is optional and is not a condition of purchase.

Message frequency varies based on briefing publication cadence and triggered signal events. Message & data rates may apply. Reply STOP to cancel; HELP for help. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of purchase.

7. Opt-Out of SMS

You may opt out of SMS alerts at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any SMS message you receive. Upon receipt of your opt-out request, we will process it immediately, cease sending SMS messages, and send a confirmation message. You may resubscribe by replying START.

8. Warranties & Disclaimers

THE SERVICES AND ANALYTICS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR INFORMATIONAL PURPOSES ONLY, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Signal scores and analytics content do not constitute investment, legal, or tax advice. OnfolioIQpublishes market data only and makes no buy or sell recommendations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Onfolio Holdings, Inc AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflicts of law principles. The courts of Delaware shall have exclusive jurisdiction.
